Affiliate Agreement

This agreement is between Shanti Technologies ("we", "us") and you, the person who joins the BaithoBitao Affiliate Programme ("affiliate", "you"). You accept it by ticking "I agree" when you apply, or when your dashboard asks you to accept a new version. Please read it fully - it decides how you earn and how you are paid.

1. Words used here

  • Business - a cafe, restaurant, bar or other business that subscribes to BaithoBitao.
  • Referred business - a business credited to you under section 4.
  • Payment - money a business actually pays us for a BaithoBitao subscription and that we actually receive.
  • Own sale - a payment by a business you referred yourself.
  • Recruit - an affiliate who joined through your invite link and was approved into your team.
  • Dashboard - your page at /affiliate, which shows your rates, referrals, earnings and payouts.

2. What the programme is - and what it is not

You introduce businesses to BaithoBitao. When they pay for a subscription, you earn commission. All earnings come only from payments businesses make for the software. Nobody earns anything for joining, for recruiting, or for buying anything. There is no fee, no deposit, no stock to buy and no target to meet. This is not an employment offer and we do not promise that you will earn any amount.

3. Who can join

  • You must be at least 18, resident in India, and able to enter a contract.
  • You need a PAN and a bank account or UPI id in your own name to be paid.
  • One account per person. Your mobile number is your sign-in; never share it or your codes with anyone else.
  • Our employees and their immediate families cannot join.
  • Every application is reviewed by us. We may accept or refuse any application without giving a reason.

4. When a business counts as yours

  • A business is credited to you when it signs up through your referral link (your code is remembered on that device for 60 days), or when it enters your code in the referral box at signup.
  • A business has one referrer, fixed for good - the first valid code on its account. It cannot be moved to you later, and a code cannot be added after signup except by us.
  • A business that already had a BaithoBitao account, or that we were already in contact with, is not a new referral.
  • If there is any doubt about who referred a business, our records decide.

5. What you earn on your own sales

  • First payment: your first-payment rate on the first payment a referred business makes.
  • Every renewal, for life: your renewal rate on every later payment by that business, for as long as it keeps paying and your account is active and in good standing.
  • Your two rates are agreed with you personally and always shown on your dashboard. We will give you at least 15 days' notice on your dashboard before lowering them; any change applies only to payments made after it. What you have already earned never changes.
  • Commission is worked out on the amount the business actually paid us for the subscription, after any discount, less anything refunded. A free trial alone earns nothing.

6. Your team - one level only

  • You may invite up to 3 people to become affiliates under you. Each of them applies and is approved by us like anyone else.
  • On every own sale made by one of your recruits, you earn a team bonus of 10% of the payment. We pay this on top of your recruit's commission - it is never taken out of theirs.
  • Only one level. You earn nothing on sales made by your recruits' recruits, or anyone further down. You earn nothing for the act of recruiting, and a recruit who never sells earns you nothing.
  • You must be active when your recruit's payment is made to earn the bonus on it. Sales a recruit made before joining your team earn you no bonus.
  • Recruits must be real, independent adults who chose to join. Do not recruit yourself under another name, and never ask a recruit for money for any reason.
  • The team bonus and team size are the same for every affiliate. We may change them for future payments with 15 days' notice; the Affiliate Agreement always shows the current figures.
  • If you break this agreement, we may move your recruits out of your team.

7. Refunds, chargebacks and clawback

  • If a payment is refunded, in full or in part, the commission and team bonus on it are reduced in the same proportion, automatically.
  • Payments that fail, are reversed by the bank (chargeback), or turn out to be fraudulent earn nothing.
  • If commission on such a payment was already paid to you, it is deducted from your future earnings. Your dashboard always shows exactly what is due. We ask you to repay money directly only where it was obtained by breaking this agreement.

8. How and when you are paid

  • We pay once a month, by the 10th, for commission and team bonus that is at least 7 days old (the time a business has to ask for a refund) on the last day of the previous month.
  • The minimum payout is ₹500. A smaller balance is carried forward to the next month - it is never lost.
  • We pay only to a bank account or UPI id in your own name, as given on your dashboard. Changing it needs a fresh sign-in code. We are not responsible for a payment to details you gave us.
  • Before your first payout we may ask for your PAN and proof that the payout account is yours.
  • Tax: we deduct tax at source (TDS) on commission under the Income-tax Act at the rate in force, and give you the TDS certificate. If you are registered for GST you must give us your GSTIN and a tax invoice; otherwise no GST is added. You are responsible for any other tax on your earnings.

9. How you must promote BaithoBitao

  • Describe BaithoBitao honestly, using our website and the affiliate training guide. Do not promise features, prices, discounts, results or support we have not published.
  • Never promise anybody income - not a business, not a person you invite. Do not say anyone will earn a certain amount, or can earn by recruiting.
  • Do not give away or share your commission with the business to win the sale (cashback, rebates or "my discount"), and do not offer discounts we have not given you.
  • No spam: no unsolicited bulk messages, calls or emails, and follow the TRAI rules on commercial communication.
  • No fake reviews, fake businesses or fake accounts; no signing up businesses without their owner's knowledge.
  • Do not pretend to be BaithoBitao staff, sign anything for us, or collect any payment for a subscription. Businesses always pay us directly.
  • No search ads on our brand name, no domain names or social accounts that use our name, and no coupon or deal sites, unless we agree in writing.

10. Our name and materials

We give you a limited, revocable permission to use the BaithoBitao name, logo and material we provide, only to promote BaithoBitao under this agreement. It ends when your account ends.

11. Privacy and confidentiality

  • Contact businesses and people lawfully and respect their privacy, including under the Digital Personal Data Protection Act, 2023. Share a prospect's details only with their consent.
  • You get no access to any business's data or its customers' data, and you must not try to.
  • Your rates, earnings and anything on your dashboard that is not public are confidential between you and us.

12. Pausing and ending

  • You may leave at any time by writing to us. Commission earned up to that day, that has not been refunded, is still paid.
  • If you break this agreement, we may pause or end your account. Earnings obtained by breaking it - such as self-referral, fake businesses or commission sharing - are not paid and may be recovered. Other earnings up to that day are still paid.
  • If we end your account without you breaking this agreement, or close the programme (with at least 30 days' notice), we keep paying your renewal commission on businesses you had already referred for 12 months after the end date.
  • A paused account earns nothing new while paused. Earnings from before the pause stay yours.

13. Our relationship

You are an independent partner, not our employee, agent, distributor or franchisee. You decide how and when you work, and you pay your own costs. Either of us may work with others; nothing here is exclusive.

14. Responsibility

  • We do our best to keep tracking and your dashboard accurate, but we are not liable for a referral that could not be tracked because cookies were blocked or the code was not used.
  • Our total liability to you under this agreement is limited to the commission due to you for the previous three months.
  • You are responsible for claims caused by your breaking this agreement or the law.

15. Changes to this agreement

We may update this agreement. We will give you at least 15 days' notice of a change that matters, and your dashboard will ask you to accept it before you continue. Every version you accepted is kept.

16. Law, disputes and grievances

Indian law applies. Write to us first - we reply within 7 working days. If we cannot resolve it, disputes go to the courts having jurisdiction over our registered office.
